1. About our terms
1.1 These Terms of Service (the “Terms”) govern your access to and use of HawkNest platform, including our website, mobile application, and related features and functionalities (the “Platform”), together with all related services, features, functionalities, and content made available by UniHawk through or in connection with the Platform (collectively, the “Services”). These Terms apply between UniHawk Education Support Services L.L.C (together “UniHawk”, “we”, “us” or “our”), and you, the person or entity accessing or using the Services (“you” or “your”).
1.2 You should read these Terms carefully before using the Services. By clicking “I agree”, creating an account, or otherwise accessing or using the Services, you confirm that you accept these Terms and agree to be legally bound by them. If you do not agree, you must not use the Services.
1.3 These Terms incorporate by reference our Acceptable Use Policy, Privacy Policy, and any other policies made available through the Services (together, the “Policies”), each of which forms an integral part of these Terms.
1.4 The Services include AI-powered tools and educational guidance features. By using the Services, you acknowledge and accept the limitations and risks associated with AI-generated content as set out in these Terms.

3. Accessing the services
3.1 The Services are made available for your personal use and, where applicable, for internal use within your school, organisation, or institution, in each case subject to these Terms.
3.2 You are solely responsible for all costs and expenses incurred in connection with your access to and use of the Services, including internet access and device requirements.
3.3 The Services are primarily designed for users in the United Arab Emirates. We make no representation that the Services are appropriate or available for use in all jurisdictions. If you access the Services from outside the UAE, you do so at your own initiative and are responsible for compliance with local laws where they apply.
3.4 As a condition of your use of the Services, you agree to comply with these Terms, our Policies, and all applicable laws and regulations. You agree not to engage in any activity that interferes with or disrupts the Services or their underlying infrastructure.
3.5 Without limiting Clause 8 (Acceptable Use), you must not:
- 3.5.1 introduce malicious or technologically harmful material;
- 3.5.2 attempt to gain unauthorised access to any part of the Services or related systems;
- 3.5.3 use the Services in a manner that may damage, disable, or impair functionality; or
- 3.5.4 engage in data scraping, harvesting, or extraction except as expressly permitted.
3.6 We reserve the right to restrict, suspend, or terminate your access to the Services where you breach these Terms or where such action is necessary to protect the Services, users, or comply with applicable law.
4. Eligibility And Access
4.1 You may only use the Services if you have the legal capacity to enter into binding agreements under applicable law.
4.2 HawkNest is designed for users aged 13 and above. Users under the age of 13 are not permitted to create accounts. Where you access the Services through a school or educational institution, the required parental or guardian consents have been obtained by the school as part of the institutional onboarding process, in accordance with our Privacy Policy. By accessing the Services through a school, you confirm that your school has completed this process on your behalf.
4.3 You agree to comply with all applicable laws, rules, and regulations in connection with your access to and use of the Services.
4.4 We reserve the right to refuse or restrict access to any user at our discretion where necessary to comply with legal or regulatory obligations or to mitigate risk to the Services or other users.
5. User Accounts And Security
5.1 Access to certain features of the Services may require registration of an account.
5.2 You agree to:
- 5.2.1 provide accurate, current, and complete information during registration;
- 5.2.2 maintain and promptly update such information as necessary; and
- 5.2.3 maintain the confidentiality of your login credentials and not share these with any third party.
5.3 You are solely responsible for all activities conducted through your account. We shall not be liable for any loss or damage arising from unauthorised use of your account where such use results from your failure to maintain the security of your credentials.
5.4 You must notify us immediately upon becoming aware of any unauthorised access to or use of your account, or any other security breach affecting your account.
5.5 We reserve the right to suspend or terminate accounts that contain inaccurate or fraudulent information, or where the account has been used in breach of these Terms.
6. Nature of the Services and AI functionality
6.1 The Services provide technology-enabled educational support tools, including AI-assisted content generation, recommendations, analytics, and guidance relating to academic pathways, institutions, and related matters.
6.2 You acknowledge and agree that:
- 6.2.1 the Services incorporate automated decision-support tools and generative artificial intelligence systems;
- 6.2.2 Outputs generated by the Services (the “Outputs”) are probabilistic and may be inaccurate, incomplete, biased, or outdated; and
- 6.2.3 such Outputs are provided for general informational and educational purposes only and do not constitute professional advice of any kind.
6.3 UniHawk does not represent, warrant, or guarantee the accuracy, completeness, reliability, or suitability of any Outputs for any particular purpose.
6.4 We may, at our sole discretion and without liability, modify, suspend, or discontinue any aspect of the Services at any time. Where reasonably practicable, we will provide advance notice of material changes.
7. No Professional Or High-Stakes Reliance
7.1 The Services, including any Outputs, do not constitute legal, financial, immigration, admissions, or other professional advice. Nothing in the Services should be treated as a substitute for independent professional guidance.
7.2 You expressly acknowledge that the Services must not be relied upon as the sole or primarily basis for decisions that may have material consequences, including but not limited to decisions relating to:
- 7.2.1 university or institution admissions;
- 7.2.2 scholarships or funding applications;
- 7.2.3 immigration or visa applications; or
- 7.2.4 employment or career opportunities.
7.3 You are solely responsible for independently verifying all information and for any decisions taken based on the Services.
8. Acceptable Use
8.1 Your use of the Services is also governed by our Acceptable Use Policy available at /legal/acceptable-use. In addition, You agree not to, and not to enable or assist others to:
- 8.1.1 Use the Services for unlawful, harmful, fraudulent, or abusive activities.
- 8.1.2 Harass, threaten, or exploit any person, including minors.
- 8.1.3 Submit content that is defamatory, obscene, or hateful, or that incites violence.
- 8.1.4 Attempt to access, probe, disrupt, or reverse engineer the Services, models, or systems.
- 8.1.5 Bypass or attempt to bypass security, rate limits, usage controls, or restrictions.
- 8.1.6 Use the Services to create or distribute malware.
- 8.1.7 Use the Services to infringe the intellectual property or any other rights of any third party.
- 8.1.8 Scrape, harvest, or collect data from the Services except as explicitly permitted in writing by UniHawk.
8.2 We may suspend or terminate your access if we reasonably believe your use violates these Terms, poses a risk to other users, or threatens the integrity or availability of the Services.
9. User Content
9.1 You may submit data, text, prompts, documents, or other materials to the Services (“User Content”). You retain ownership of your User Content.
9.2 By submitting User Content, you grant UniHawk a non-exclusive, worldwide, royalty-free licence to use, process, store, reproduce, and transmit User Content to the extent necessary to:
- 9.2.1 provide, operate, and maintain the Services;
- 9.2.2 improve and develop the Services;
- 9.2.3 comply with legal obligations; and
- 9.2.4 enforce these Terms.
9.3 For the avoidance of doubt, UniHawk does not use User Content submitted by students to train foundational AI models. Any use of data to improve the Services is limited to aggregated and anonymised information as described in our Privacy Policy.
9.4 You represent and warrant that you have all necessary rights to provide such User Content and that it does not infringe any third-party rights or applicable laws.
9.5 While we take reasonable technical measures to maintain the security of the Services, we do not actively monitor or verify whether information submitted through the Services is confidential or commercially sensitive. You are responsible for determining what information you choose to submit.
10. AI Outputs
10.1 The Services generate Outputs based on User Content and system data.
10.2 Subject to compliance with these Terms, you are granted a limited, non-exclusive, non-transferable right to use Outputs for personal, non-commercial purposes or internal organisational use.
10.3 You acknowledge that:
- 10.3.1 Outputs may not be unique and similar or identical outputs may be generated for other users; and
- 10.3.2 Outputs must not be represented as verified, authoritative, or factual without independent validation.
10.4 You must not use Outputs to develop, train, or improve any competing product or service, including any artificial intelligence model or system.
11. Data Protection And Privacy
11.1 Your use of the Services is subject to our Privacy Policy, which forms part of these Terms by reference and sets out how UniHawk collects, uses, stores, and shares personal data, as well as your rights as a data subject.
11.2 UniHawk processes personal data in accordance with applicable data protection laws, including the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data, and UAE child protection and digital safety laws, where applicable.
11.3 UniHawk acts primarily as a Data Processor on behalf of institutional partners (such as schools) for personal data processed in connection with the Services. Where UniHawk processes personal data for its own operational purposes (e.g., platform maintenance, security, analytics), it acts as a Data Controller and only processes such data where it has a lawful basis, including performance of a contract, legitimate interests, consent, or compliance with legal obligations.
11.4 All personal data is hosted within the United Arab Emirates. The Services utilise third-party infrastructure and subprocessors for hosting, processing, and functionality, including, Amazon Web Services (AWS) for data hosting within the United Arab Emirates; and Microsoft Azure OpenAI Service (Enterprise) for AI processing within the United Arab Emirates.
11.5 UniHawk implements appropriate technical and organisational measures to protect personal data, including:
- 11.5.1 use of pseudonymisation where feasible;
- 11.5.2 restriction of access to authorised personnel; and contractual safeguards with subprocessors.
11.6 Personal data submitted through the Services is not used to train foundational artificial intelligence models. Where data is used to improve the Services, it is aggregated and anonymised to the extent reasonably practicable.
11.7 You agree not to submit special categories of personal data (as defined under applicable data protection law) through the Services unless expressly requested. If you believe special category data has been submitted inadvertently, please contact us at support@hawknest.ai.
11.8 Where you access the Services through a school or institution, the school partnership agreement and any associated data processing agreement between UniHawk and that institution will also apply to the processing of personal data in that context.
12. Fees and Payment
12.1 The Services are currently provided to students and parents at no direct charge. Schools access the Services under the terms of a separate school partnership agreement. Certain additional features of the Services may in the future be made available subject to fees. All applicable fees, billing cycles, and taxes will be clearly disclosed at the point of purchase before any charge is applied. Unless otherwise required by applicable law or expressly stated at the point of purchase, all fees paid are non-refundable.
13. Intellectual Property
13.1 All intellectual property rights in and to the Services, including software, algorithms, models, content, and materials made available through the Services (excluding User Content) (“Content”), are owned by UniHawk or its licensors. UniHawk and its licensors reserve all such rights, whether registered or unregistered, anywhere in the world.
13.2 Nothing in these Terms grants you any ownership rights in or to the Services or the Content. Your right to access and use the Services is limited to the rights expressly granted under these Terms.
13.3 You must not copy, reproduce, modify, distribute, publish, display, reverse engineer, decompile, or otherwise exploit the Services or the Content except as expressly permitted under these Terms or with our prior written consent.
13.4 In particular, you may not:
- 13.4.1 download or modify any part of the Services other than for temporary caching in the ordinary course of use;
- 13.4.2 use automated means, including data mining, scraping, robots, or similar tools, to access or extract data from the Services; or
- 13.4.3 use the Services or Content to develop, train, or improve any competing product or service, including artificial intelligence models.
13.5 “UniHawk” and “HawkNest” and any associated logos are our trademarks. You may not use any such trademarks without our prior written consent.
14. Third-party services
14.1 The Services may contain links to or integrations with third-party websites, applications, or resources. UniHawk does not control and is not responsible for the content, accuracy, availability, or practices of such third-party services, and your use of them is at your own risk.
14.2 Your use of any third-party services is subject to their respective terms and policies. We recommend reviewing those policies before using any third-party service linked from or integrated into the Platform.
15. Suspension and Termination
15.1 You may cease using the Services at any time. If you wish to delete your account, please contact us at the address in Clause 2 or follow the account deletion process available within the Services.
15.2 We may suspend or terminate your access to the Services immediately and without liability where:
- 15.2.1 you breach these Terms or any of our Policies;
- 15.2.2 required by applicable law or a regulatory authority; or
- 15.2.3 necessary to protect the integrity, security, or availability of the Services or to safeguard other users.
15.3 Upon termination, all rights granted to you under these Terms shall immediately cease. Provisions which by their nature should survive termination, including Clauses 7, 9, 10, 13, 16, 17, and 18, shall continue in full force and effect.
16. Disclaimers
16.1 The Services are provided on an “as is” and “as available” basis. While UniHawk endeavours to provide reliable and high-quality Services, we do not guarantee that the Services will be uninterrupted, error-free, or meet your specific requirements. To the fullest extent permitted by applicable law, UniHawk disclaims all warranties, whether express, implied, or statutory, including any warranty of accuracy, fitness for a particular purpose, merchantability, or non-infringement. The Services may include Outputs generated using artificial intelligence. Such Outputs are generated based on available data and algorithms and may not always be accurate, complete, or appropriate. You acknowledge that any reliance on Outputs is at your own risk and subject to the limitations set out in Clause 7.
17. Limitation of Liability
17.1 To the fullest extent permitted by applicable law, UniHawk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with your use of or inability to use the Services. This includes any reliance on educational guidance, AI-generated outputs, or recommendations provided through the Platform, which are for informational purposes only and do not guarantee any outcomes.
18. Indemnity
You agree to indemnify, defend, and hold harmless UniHawk, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- your access to or use of the Services;
- your User Content; or
- your breach of these Terms or applicable law.
19. Variation
19.1 We may amend these Terms from time to time to reflect changes in applicable law, our Services, or our practices. Where we make material changes, we will provide reasonable notice by posting the updated Terms on the Services or notifying you directly. Your continued use of the Services following notice of any change constitutes your acceptance of the updated Terms.
19.2 If you do not agree to any updated Terms, you must cease using the Services and, if applicable, close your account.
20. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United Arab Emirates (UAE). The parties irrevocably submit to the exclusive jurisdiction of the UAE Courts to resolve any dispute or claim arising out of or in connection with these Terms.
21. General provisions
21.1 Severability: If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from these Terms, and the remaining provisions shall continue in full force and effect.
21.2 Entire Agreement: These Terms, together with the Policies and, where applicable, the School Partnership Agreement, constitute the entire agreement between the parties with respect to the Services and supersede all prior agreements, representations, and understandings.
21.3 No Waiver: No failure or delay by UniHawk in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy.
21.4 No Third-Party Rights: These Terms do not confer any rights on any third party to enforce any provision of these Terms.
21.5 Assignment: You may not assign or transfer any rights or obligations under these Terms without our prior written consent. UniHawk may assign its rights and obligations under these Terms to any affiliate or successor entity without notice.
22. Apple and Google App Store Terms
22.1 If you access or download the Platform from the Apple App Store, Google Play Store, or any other application distribution platform (each, an “App Store”), you acknowledge and agree that:
- 22.1.1 these Terms are between you and UniHawk Education Support Services L.L.C only, and not with the App Store provider (including Apple Inc. or Google LLC). The App Store provider is not a party to these Terms;
- 22.1.2 the App Store provider has no obligation whatsoever to furnish any maintenance or support services with respect to the Platform;
- 22.1.3 to the maximum extent permitted by applicable law, the App Store provider has no warranty obligation whatsoever with respect to the Platform, and any claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty shall be the sole responsibility of UniHawk Education Support Services L.L.C;
- 22.1.4 the App Store provider is not responsible for addressing any claims you or any third party may have relating to the Platform or your possession and/or use of the Platform, including product liability claims, any claim that the Platform fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation;
- 22.1.5 in the event of any third-party claim that the Platform or your possession and use of the Platform infringes that third party’s intellectual property rights, the App Store provider shall not be responsible for the investigation, defence, settlement, or discharge of any such claim; and
- 22.1.6 the App Store provider and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, the App Store provider will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
